These Terms and Conditions ("Terms") govern your use of the nitemind.us website and any services provided by Nitemind LLC ("we," "us," "our"), based in Brooklyn, NY. By accessing the website or engaging our services, you agree to these Terms.

Services

Nitemind LLC provides lighting, video, audio, scenic, and production design services for live events, tours, brand activations, and hospitality venues. All engagements are subject to a separate written agreement, statement of work, or invoice that defines scope, deliverables, timeline, and compensation. These Terms supplement but do not replace project-specific agreements.

Intellectual Property

Our Work

All creative work, designs, lighting plots, video content, control programming, custom software, fabrication designs, and related materials produced by Nitemind LLC remain the intellectual property of Nitemind LLC unless explicitly transferred in writing. This includes but is not limited to:

• Lighting designs, plots, and programming files
• Video content, generative visuals, and projection mappings
• Show control systems, custom software, and automation code
• Stage and scenic design documents
• Custom fixture designs and fabrication drawings
• Production concepts, creative treatments, and proposals

Clients receive a license to use delivered work for the agreed-upon project or purpose. Reuse, redistribution, or adaptation of Nitemind LLC's work for other projects, venues, or purposes requires separate written permission.

Portfolio and Documentation

Nitemind LLC retains the right to photograph, video, and document all work for portfolio, promotional, and archival purposes, unless restricted by a written confidentiality agreement. Project names, client names, and general descriptions of work may appear in our portfolio, website, and promotional materials.

Website Content

All content on this website, including text, images, design, and code, is the property of Nitemind LLC and may not be copied, reproduced, or distributed without written permission.

Client Obligations

Clients engaging Nitemind LLC's services agree to:

• Provide accurate project information, timelines, and venue specifications
• Ensure safe and legal working conditions at all venues and event sites
• Make timely payments as outlined in the project agreement or invoice
• Obtain necessary permits, licenses, and insurance for events
• Communicate changes to scope, timeline, or budget promptly

Payment Terms

Unless otherwise specified in a project agreement:

• A deposit is required to confirm booking and begin work
• Final payment is due upon project completion or as specified in the invoice
• Late payments may incur interest at the rate of 1.5% per month
• Nitemind LLC reserves the right to suspend work on accounts with outstanding balances

Cancellation

Cancellation terms are specified in individual project agreements. In the absence of specific terms:

• Deposits are non-refundable
• Cancellation within 14 days of the event or production date is subject to full payment of the agreed fee
• Nitemind LLC will make reasonable efforts to accommodate rescheduling

Limitation of Liability

Nitemind LLC's liability for any claim arising from services rendered is limited to the total fees paid by the client for the specific project in question. Nitemind LLC is not liable for:

• Indirect, incidental, consequential, or punitive damages
• Lost profits, lost revenue, or business interruption
• Delays or failures caused by venue conditions, weather, third-party vendors, force majeure, or circumstances beyond our reasonable control
• Damage to equipment not owned or operated by Nitemind LLC
• Any claim arising more than 12 months after the event or project completion

Indemnification

Clients agree to indemnify and hold harmless Nitemind LLC, its members, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from the client's event, venue conditions, third-party actions, or breach of these Terms.

Independent Contractor

Nitemind LLC operates as an independent contractor. Nothing in these Terms or any project agreement creates an employment, partnership, or agency relationship. Crew and subcontractors engaged by Nitemind LLC are not employees of the client.

Confidentiality

Nitemind LLC will treat non-public project details, business information, and trade secrets shared by clients as confidential, except where disclosure is required by law or where information becomes publicly available through no fault of Nitemind LLC. Specific confidentiality obligations must be outlined in a separate written agreement.

SMS Communications

By providing a phone number and consenting to receive messages, crew members and contractors agree to receive production-related SMS communications from Nitemind LLC via Twilio. Website Use

This website is provided "as is" without warranties of any kind. We reserve the right to modify, update, or remove content at any time. Links to third-party websites are provided for convenience and do not imply endorsement.

Governing Law

These Terms are governed by the laws of the State of New York. Any disputes arising from these Terms or Nitemind LLC's services shall be resolved in the courts of Kings County (Brooklyn), New York.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
